We are not entering into Dealership agreements at this time. We are struggling with the obtaining of financing that will allow us to begin producing our vehicles. Once we are in production, we will allocate the production to the existing Dealers and after the entire production has been allocated, we will again begin entering into Dealership agreements in all parts of the courntry.
The following is the pricing for a Dealership Relationship: For areas containing less than 100,000 in population the pricing is the greater of $25,000 or $0.75 per population in accordance with the U.S. Census Bureau 2004 figures. For areas with a greater population density than 100,000 people the cost is $75,000 plus $0.50 per person on the population in excess of 100,000, again in accordance with the U.S. Census Bureau 2004 or later figures.
When you become a Dealer with Eco-Fueler Corporation you also become a partner with us in the business because you receive $1.00 par value stock in Eco-Fueler Corporation equal to the Dealership price. Therefore a Dealership priced at Fifty Thousand Dollars ($50,000) will entitle the Dealer to not only an appointment as a Dealer, but also to receive (50,000) shares of $1.00 par value stock in Eco-Fueler Corporation. The Dealer is also required to purchase at least one American Roadster™ at Dealer cost: Retail pricing minus 10%. At current pricing of $19,900 that will be $17,910. The initial Dealership Roadster price will be the pricing in effect on the date of the Dealership Agreement.
The commission payable to the Dealer will be ten percent (10%) of the selling price. The cost of the American Roadster™ to the Dealership is payable on delivery to the Dealer.Financing is available through normal lending sources. The terms for the Dealership acquisition are negotiable with a sizable initial payment.The Dealers demo vehicle purchased by the Dealership is to be made available through prearrangement to all Sales Representatives in the Dealership to promote the sales of The American Roadster™.
State Regulation of Dealerships: Every state licenses and regulates our Dealerships. A part of this regulation is the requirement that a Dealer to have a physical location that is zoned to allow Dealership sales. We have found that if you are looking for a minimal location presence you will be able to co-locate a Dealership with an existing auto dealer or used auto dealer in order to satisfy this requirement. All states also require some form of education class attendance that is provided by the national auto dealers association. Finally, some states also require that all sales people working for the Dealership also be licensed by the state.
California Regulation of Dealerships: California does require licensing of both the Dealership as well as the Sales Person. A background check and minimal education class attendance are required. One reason for Dealership Licensing is that Dealers will be handling the transfer of titles to vehicles as well as collecting fees on behalf of the State, and the licensing provisions are in place to make sure the state receives its fees, as well as to avoid possible fraudulent transfers of titles to vehicles. California is one of the states requiring sales people to be licensed, and to have that license be associated with a licensed Dealer.
Eco-Fueler Corporation has completed the registration requirements as a manufacturer for the State of California. As required by law, we must formally appoint each dealer under a California form, and then file that form with the State. To accomplish this appointment we need to be supplied with the legal name, address and telephone number of the dealership. When we receive that information, we will make a formal appointment and provide you with the appointment.
Once we have appointed you as a California Dealer, you will be required to fill out the Application form for a California Motorcycle Dealership, which does include getting local approval or a sign off by the local planning department that the site is suitable for the dealership.
The main reason for all of this is that you will be handling money that belongs to the State of California (the license fees and the sales taxes). All of this gets set up in this process. For your reference, The California Automated Vehicle Registration system will identify our product makes by the acronym of: “ECFLR”.
State Regulation of Sales Representatives: If there are existing Sales Representatives in the Dealership area being purchased, the Dealership will have direct supervision over them and will receive override commission on their sales of The American Roadster™, including commissions generated when a reservation is converted into a sale. The Dealership will be entitled to a 10% commission on Roadster sales generated by it and a 7% commission override on all Roadster sales completed by the Sales Representative(s), including sales to holders of Certificates of Reservation that originate in the Dealership Territory.
